Code of Ethics and Corporate Conduct

We are committed to the highest standards of ethical conduct and in order to further promote ethical and responsible business conduct we have developed a Code of Ethics.

This Code is to be applied in all our business relationships. The Code provides all employees of Goodwater Limited (the Company) and all third parties that represent the Company, such as consultants, representatives, joint venture partners or third parties (collectively, "Representatives"), as well as our suppliers, with an important resource to guide them in making the right choices when dealing with matters relating to Business Ethics.

The Code addresses those areas in which we must all act in accordance with law or regulation, and also establishes the responsibilities, conditions, guiding principles and procedures to ensure employees and representatives act appropriately on the Company's behalf. In addition to adhering to the conditions and procedures set out in the Code, employees, suppliers, and representatives are required to comply with the laws of the countries in which they reside or do business.

All employees are responsible for their own adherence to the Code, and managers are also required to consider whether the actions of their own staff and representatives are also in accordance with the Code. All representatives are in their own right responsible for both their own and their staff’s adherence to the Code of Ethics.

Fundamentally, the success of our approach depends upon our management and employees understanding the Company's values, applying judgment and reason in an open environment and having the confidence that the Company will help and support them over difficult issues. Where there is a suspicion or evidence of non-compliance to the Code of Ethics, action will be taken to remedy the non-compliance.

The Company requires employees to advise their manager, who should inform the Director of Compliance or another member of the Compliance team, when they become aware of violations of our Code. Unethical behaviour will not be tolerated, and the Company will take action in all cases up to and including dismissal of employees and termination of contractual relationships with Representatives.

Goodwater’s board of directors is fully committed to ensuring that the Company complies both with the letter and spirit of the principles in the Code of Ethics. For that reason, our Quality Manager has the responsibility and authority to oversee and drive our compliance programme.

These standards reflect our core values. We believe that adherence to these standards ensures our long-term success, even though we may decide to forgo some perceived near-term business opportunities.

Regardless of their positions with the company, we expect the business behaviour of all employees to conform to these statements at all times:

  • We provide quality products and services, delivered on time and at competitive prices.
  • We are sensitive to all forms of conflict of interest.
  • Our business practices are in accordance with our standards, and we hold our outside consultants and representatives to the same high standards.
  • We are especially careful when engaged in sensitive areas such as competitive intelligence gathering, lobbying or political activities.
  • We ensure that all company operations and products are safe and environmentally sound.
  • We communicate with competitors only under appropriate circumstances and in strict accordance with the law.

Our Customers
Unless we consistently fulfil our customers' needs, we cannot serve any of our other stakeholders. Thus, we are committed to providing high quality products and services at competitive prices. We constantly strive for technical excellence. We are forthright and honest in our communications and transactions with customers.

Our Employees
Our employees are our most valued resource. As such, we are committed to treating one another fairly and to providing a challenging work environment. We respect each other's privacy and treat each other with dignity and respect. We are committed to providing safe and healthy working conditions and an atmosphere of open communication.

Our Suppliers
We deal openly and honestly with our suppliers. We encourage competition and, at the same time, value long term relationships with our suppliers. Our Bribery Policy advises our managers and associates on laws relating to antitrust, unfair competition, political contributions, abuse of purchasing power, commercial and political bribery, and more.

Our Communities
We aim to be a good corporate citizen and we encourage all our people to be good citizens. We respect the environment in which we work and the natural resources we utilise.
